Transfer of Rights
This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Jiph & Finss without restriction.
Law and Venue
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Karnataka, India, as they are applied to agreements that are entered into and performed entirely within India. Any action you, any third party, or Jiph & Finss may bring to enforce this Agreement or, in connection with any matters related to the Site or the Service, shall be brought only in the State Indian Courts located in Bangalore, Karnataka, and you expressly consent to the exclusive jurisdiction of said courts over yourself and any such matters.
Indemnification
You agree to indemnify, defend, and hold harmless Jiph & Finss, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys’ fees) arising from or relating to your violation of these Terms or your misuse of the Site or the Service.
Force Majeure
Jiph & Finss will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, strikes, internet outages, or governmental actions.
